Acceptance of Terms
By accessing or using the services provided by Modrena UG (“Modrena,” “Testral,” “we,” “our,” or “us”) through our website https://testral.dev (including subdomains such as our API and documentation) and our desktop application (collectively, the “Site” or “Platform”), you (“User,” “you,” or “your”) agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services or access the Site.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Description of Services
Testral offers AI-powered mobile quality-assurance software and related services, including but not limited to an AI QA Engineer workflow, test authoring and execution, device connectivity (local, emulator/simulator, and cloud), test plans, reports, integrations, and a hosted backend (collectively, the “Services”). The Services are designed to help you automate and manage mobile testing pipelines. Features available to you may depend on your plan, closed-beta access, or other eligibility.
Use of Services
1. Eligibility
You must have the legal capacity to enter into these Terms. If you are using the Services for a business, you represent that you are duly authorized to do so. The Services may be offered in closed beta; access may be invitation-only or waitlist-based at our discretion.
2. User Account
You may need to create an account (“Customer Account”) to access certain features. You agree to provide accurate information and keep it updated. You are responsible for safeguarding credentials (including OAuth-linked accounts and API keys) and for all activity under your Customer Account. You will not sell, transfer, or sublicense login credentials or API keys except to pre-authorized employees or contractors who need access (“End Users”). Except to the extent caused by our breach of these Terms, you are responsible for activities under your Customer Account. You must notify us promptly of any unauthorized use or suspected security breach.
3. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable laws or regulations.
- Interfere with or disrupt the operation of the Services or the Site.
- Attempt to gain unauthorized access to any part of the Services, Site, or other customers’ data.
- Use the Services to transmit malware or other harmful code.
- Reverse engineer, decompile, or disassemble any aspect of the Services except to the extent such restriction is prohibited by law.
- Circumvent usage limits, billing, authentication, or access controls (including closed-beta restrictions).
- Use the Services to test applications or process data without rights or required consents.
4. Intellectual Property Rights
Ownership. All content, features, and functionality of the Services and the Site—including text, graphics, logos, software, models, and documentation—are the exclusive property of Modrena or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, royalty-free, revocable, non-exclusive, non-sublicensable, non-transferable license to use the Services and Platform solely for your permitted use during your subscription or authorized access period. Except as stated here, you receive no other rights to the Services, Platform, or related intellectual property. Third-party or open-source components may be subject to their own licenses; if there is a conflict, those licenses control for that component.
Customer Content license to Modrena. Subject to these Terms, you grant Modrena a limited, non-exclusive, royalty-free, worldwide license to host, copy, process, transmit, and display Customer Content solely as necessary to provide the Services to you (including AI-assisted location, verification, exploration, execution, and reporting for your account). We do not use Customer Content to train general-purpose foundation models for unrelated customers. Aggregated or anonymized operational metrics that do not identify you or your End Users may be used to operate and improve the Services.
Marketing use. You grant Modrena a non-exclusive, worldwide, royalty-free license to use your company name and logo to identify you as a customer on our website and in marketing materials, unless you opt out by written notice (including email). After opt-out, we will stop creating new materials featuring your marks; materials already produced may continue to be used.
Feedback. If you provide feedback, ideas, or suggestions about the Services, you grant Modrena a perpetual, worldwide, royalty-free, irrevocable license to use and incorporate that feedback into the Services without restriction or compensation. This license does not transfer ownership of your pre-existing intellectual property unrelated to the feedback.
Your responsibilities. You will use the Services only as permitted by these Terms and applicable law (including privacy and data-protection laws). You are responsible for obtaining all consents and authorizations required for the collection, storage, and processing of information (including screenshots, device streams, logs, and app binaries) according to your instructions. You must not upload content that infringes third-party rights or that is unlawful, defamatory, or malicious.
Customer Content and User Content
You may submit or upload content through the Services (“User Content” / “Customer Content”), including tests, projects, app builds, device metadata, screenshots, recordings, logs, reports, and organization data. You retain ownership of Customer Content. By submitting it, you grant Modrena the license described above solely to provide the Services. You are responsible for End Users’ use of Customer Content and the Services and for their compliance with these Terms.
You represent and warrant that you have all necessary rights to submit Customer Content and that such content does not infringe third-party rights or violate law. If Customer Content includes personal data of third parties (for example, data visible in an app under test), you are the controller of that data and Modrena processes it on your instructions as a processor, as further described in our Privacy Policy.
Shareable reports. If you create or enable a shareable report link, anyone who has the link may be able to view the report and related artifacts (such as screenshots and step details) without signing in. You are responsible for deciding what to share and with whom, and for disabling links when they are no longer needed.
Payment Terms
Fees for paid plans, step quotas, on-demand steps, or other purchases are as described on our pricing page, in the desktop app, or in an order form (collectively, “Fees”). Unless otherwise stated, Fees are billed in advance via our payment processor, are non-refundable except as required by law or expressly stated by us, and are exclusive of taxes (including VAT where applicable). You are responsible for applicable taxes other than taxes based on our net income.
You may cancel a recurring subscription through account settings or by emailing hello@testral.dev. If you cancel during a billing cycle, access typically continues until the end of that cycle; unused time in the current cycle is not refunded unless required by law. After cancellation, access to paid features may be disabled. We may retain account data for a limited period (typically up to ninety (90) days) to allow export or meet legal obligations, then delete or anonymize it unless longer retention is required by law.
Unpaid amounts may result in suspension or termination of the Services. Initiating a chargeback without first contacting us to resolve the issue may result in immediate suspension; we reserve the right to contest chargebacks and recover associated costs. We may change Fees for future periods with at least thirty (30) days’ prior notice.
Confidentiality
Each party agrees to maintain the confidentiality of proprietary or confidential information disclosed in connection with the Services and to use it only as needed to perform under these Terms, except where disclosure is required by law or the information is or becomes public through no fault of the receiving party. This obligation survives termination of these Terms.
Privacy Policy
Your use of the Services is also governed by our Privacy Policy. Please review it to understand how we handle personal information.
Beta, AI, and Disclaimers
Portions of the Services may be offered as beta, preview, or experimental features (including closed beta). Those features may be incomplete, change without notice, or be discontinued. AI-assisted results (including exploration, scenario generation, step execution, verification, and auto-heal) are probabilistic and may be incorrect or incomplete. You remain responsible for validating results before relying on them for release decisions.
Disclaimer. The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Modrena disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Mandatory statutory rights under German law (including for consumers, where applicable) remain unaffected.
Limitation of Liability. To the fullest extent permitted by law, Modrena shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising from (i) your use of or inability to use the Services; (ii) unauthorized access to or use of our systems or information stored therein; or (iii) any third-party services (including cloud device providers or payment processors). Our aggregate liability for all claims relating to the Services shall not exceed the amounts you paid to Modrena for the Services in the twelve (12) months preceding the claim (or, if you have paid nothing, one hundred euros (€100)). Nothing in these Terms limits liability for intent, gross negligence, injury to life, body, or health, or other liability that cannot be limited under German law (including under the Product Liability Act).
Indemnification
You agree to indemnify and hold harmless Modrena and its affiliates, officers, agents, and employees from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or connected with your access to or use of the Services, your Customer Content, or your violation of these Terms, to the extent permitted by applicable law.
Termination
You may stop using the Services at any time and may cancel paid subscriptions as described under Payment Terms. We may suspend or terminate your access immediately for material breach, unpaid Fees, abuse, security risk, or legal requirement. For paid plans in good standing, we will provide at least fourteen (14) days’ notice before terminating for convenience (for example, if we discontinue the Services), unless a shorter period is required for security or legal reasons. Upon termination, your license to use the Services ends. Provisions that by their nature should survive (including ownership, confidentiality, disclaimers, limitation of liability, and indemnification) will survive.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive venue for disputes shall be the courts of Karlsruhe, Germany, unless mandatory law (including consumer protection law) provides otherwise. Before filing a claim, you agree to contact us at hello@testral.dev and attempt to resolve the dispute in good faith within thirty (30) days.
Changes to Terms
We may modify these Terms from time to time. Changes are effective when posted on the Site (with an updated date above). For material changes affecting paid Services, we will provide reasonable prior notice where practicable. Your continued use of the Services after changes are posted constitutes acceptance. If you do not agree, you must stop using the Site and Services. It is your responsibility to review these Terms periodically.
